1. User Agreement

1.1 MyFaveShop (www.myfaveshop.com; "the Site") is owned and operated by Itsmyfavouriteshop.com Limited ("Itsmyfavouriteshop", "we", "us" and "our"). This Agreement is a legal document which sets out your rights and obligations, and those of Itsmyfavouriteshop.com Limited in relation to this website, located at www.myfaveshop.com. This Agreement is effective as of 15th May, 2008.

1.2 By using the Site, you acknowledge that you have read this Agreement, understand it and agree to be bound by its terms and conditions. You also acknowledge that you have read and understand the Privacy Policy. If you do not agree to this Agreement or the Privacy Policy, you should not use or access the Site.

1.3 By registering on MyFaveShop, you accept that you are entering into a contract with us on the terms of this Agreement. Visitors to the site who do not register to become members ('FaveShoppers') also affirm that they are bound by this Agreement each time they access the MyFaveShop site.

2. Registration

2.1 You will need to register to use some of MyFaveShop's services or features. From time to time, we may change the registration requirements. When you register as a member, you are required to provide information about yourself that is true, accurate, current and complete. You may also want to view our Privacy Policy.

2.2 As part of the registration process, you will be asked to choose a username and password. You will be responsible for all activities that occur under your username. You will also be responsible for keeping your password secure. In some cases, we may refuse to grant you a username; we may make this refusal on the grounds that your username is one that impersonates someone else, is or may be protected by trademark or proprietary rights law, or is offensive, rude or otherwise inappropriate, as determined by us in our sole discretion.

3.1 You must be 14 years or older to use the MyFaveShop site. By registering to become a member of MyFaveShop, you acknowledge that you are 14 years of age or older and that you have the capacity to understand, agree to and comply with these Terms of Service.

4. Copyright and trademarks

4.1 You may not copy, use, or retransmit anything from or for our site without our permission. Any commercial or promotional distribution, publishing or exploitation of the MyFaveShop site, or any content, code, data or materials on the sites is strictly prohibited. You may not offer goods for sale or use the MyFaveShop site for commercial service without our prior written consent.

4.2 The images and text referenced, made accessible or made available to you on these pages or by means of the MyFaveShop site are protected by the copyright and trademark laws of the United Kingdom and other countries. Should you wish to use them for any purpose other than viewing on the web, you may need to obtain authorisation from the owner of such materials. It is your responsibility to obtain any authorisations to use an image or text that may be required; MyFaveShop cannot give you such authorisation.

6. Social networking; user content

6.1 Should you choose to post material to any forums or other community boards offered on the MyFaveShop site, or if you upload photographs, audio or video files, you will be solely responsible for all content. This content includes messages, text, files, images, graphics, photos, audio clips, sounds, video or other materials. You agree that the content you post will be both true and accurate, will not defame any person or invade their privacy, and will not infringe the proprietary rights of any person. You agree not to post content to which you do not own the rights.

6.2 When you post content to the site, your MyFaveShop username is visible to other users. If you choose to post personal information online that is accessible to the public, you acknowledge that you may receive unsolicited messages from other parties. You also acknowledge that visitors to the site may post comments about your messages or content which may be derogatory and that MyFaveShop has no obligation to monitor or delete any such content.

6.3 Please be aware that MyFaveShop cannot and does not monitor all user content; therefore MyFaveShop will not be responsible for user content. MyFaveShop does, however, reserve the right to delete or edit any user content that constitutes obscenity, harassment, or is offensive or objectionable and not in keeping with the site's standards.

6.4 Under no circumstances will MyFaveShop be responsible for any inaccuracy or defect in user content posted on our site. As a MyFaveShop user, you agree not to post or email content:

that is unlawful, harmful, threatening, abusive, harassing, defamatory, pornographic, libelous, invasive of another's privacy, or harmful to minors in any way;

7.2 We make no warranty that this website will meet your requirements or will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that this site or the server that supports it are free of viruses or bugs or represents the full functionality, accuracy, reliability of the materials. We will not be responsible or liable to you for any loss of content or material uploaded or transmitted through this site.

7.3 You acknowledge that we cannot guarantee and therefore shall not be in any way responsible for the security or privacy of this site and any information provided to or taken from this site by you.

7.4 You agree that, except for death and personal injury arising from our negligence, we will not be liable in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent misrepresentations) or otherwise out of or in connection with this contract, for any economic losses (including without limitation, loss of revenues, profits, contracts, business or anticipated savings), any loss of goodwill or reputation, or any special or indirect or consequential losses in any case whether or not such losses were incurred by that party arising out of or in connection with the provisions of any matter under the Terms of Service.

8. Your activity

8.1 You use the MyFaveShop site at your sole risk. You agree that you will be personally responsible for your use of this site and for all of your communication and activity on this site. At any time and without notice, we reserve the right to deny you access to this site, or any part of this site. If we determine, in our sole discretion, that you engaged in prohibited activities, were not respectful of other users, or otherwise violated the Terms of Service, we may deny you access to this site on a temporary or permanent basis. Any decision to do so is final.

9. Indemnification

9.1 At our request, you agree fully to defend, indemnify and hold harmless MyFaveShop immediately on demand, its officers, directors, agents, affiliates, licensors, and suppliers, from and against all liabilities, claims, expenses, damages and losses, including legal fees, arising from any breach of the Terms of Service by you or any other liabilities arising out of your use of this site, or the use by any other persons accessing this site using your Internet account. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you hereunder.

10. Our relationship

10.1 No joint venture, partnership, employment, or agency relationship exists between you and MyFaveShop as a result of the Terms of Service or your use of this site. You agree that you may not and will not hold yourself out as a representative, agent, or employee of MyFaveShop, and we shall not be liable for any representation, act, or omission on your part.

10.2 If any provision of this Agreement is held to be invalid or otherwise unenforceable by a court or tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement will continue in full force and effect.

11. Entire Agreement

11.1 These Terms of Service (as amended from time to time) represent the entire agreement between you and Itsmyfavouriteshop in relation to your use of the site (including its content), and supersedes any other agreement or communications (whether written, oral or electronic) between you and Itsmyfavouriteshop with respect to the website. Any waiver of any term of this Agreement will only be effective if in writing and signed by a party and no waiver by Itsmyfavouriteshop of any right or remedy under these Terms of Service will prevent Itsmyfavouriteshop from enforcing any of its rights or remedies in any other situation where you breach this Agreement.
